About the right team member

The Corporate Counsel is a hard-working team player with at least 6 years of experience advising fast-paced tech companies on SaaS and other technology agreements. This role will focus on drafting and negotiating customer and vendor contracts, ensuring compliance with data privacy laws, and mitigating legal risks associated with SaaS transactions. Strong candidates will have expertise in contract law, a proven track record of successful collaboration with diverse stakeholder teams, and precise written and verbal communication skills. 

About the role

  • Draft, review, and negotiate SaaS agreements, master service agreements (MSAs), subscription agreements, data processing agreements (DPAs), and other technology-related contracts.  
  • Interpret contract requirements, obligations and risk exposure and advise on same. 
  • Educate business partners on key commercial, legal, corporate policy and other considerations. 
  • Facilitate the timely closure of business transactions while minimizing risk exposure 
  • Identify and mitigate legal and business risks associated with SaaS contracts, including intellectual property, data security, and liability exposure.  
  • Partner with internal stakeholders to address contract-related issues, align on key terms, and provide legal support for customer and vendor negotiations. 
  • Develop and maintain standard contract templates, playbooks, and guidelines to streamline the contract review process. 
  • Support dispute resolution efforts and provide legal guidance on contract enforcement, renewals, and terminations. 
  • Provide training to internal teams on SaaS-related legal topics, contract negotiation strategies, and compliance requirements. 
  • Advise business teams in a variety of domestic and international locations. 
  • All other duties as identified. 

 

Skills & experience

  • J.D. degree and member in good standing in at least one U.S. state bar 
  • At least 6 years of relevant legal experience.  
  • In-house experience is a plus, ideally in SaaS or FinTech companies 
  • High degree of professional ethics and integrity 
  • Experience in leading contract negotiations 
  • Familiarity with SaaS, APIs, and cloud-based tech agreements 
  • Ability to drive cross-functional projects 
  • Ability to assess risks in complex agreements and provide clear, practical advice 
  • Strong business acumen and practical approach to legal challenges 
  • Experience collaborating with business teams and other members of the legal team (regulatory, product, privacy, etc.) to ensure business needs are met 
  • Ability to clearly and effectively communicate complex legal points and concepts 
  • Ability to quickly learn new software, technologies and associated legal issues 
  • Excellent written and verbal communication skills, including the ability to explain complex legal concepts to non-legal stakeholders 
  • Strong proofreading skills 
  • Ability to juggle many competing priorities and to thrive in a fast-paced, dynamic, sometimes ambiguous environment 
  • Ability to work independently and as part of a team

The goal of Mindbody’s compensation program is to be transparent, attract potential employees, meet the needs of all current employees, and encourage Team Members to stay with our organization.

Actual compensation packages are based on several factors that are unique to each candidate, including but not limited to skill set, depth of experience, certifications, and specific work location.

The base salary range for this position in the United States is $161,300 - $201,700. The total compensation package for this position may also include performance bonus, stock, benefits and/or other applicable incentive compensation plans.
