Our Legal Department is seeking a Corporate Counsel to assist with B2B SaaS transactions and general contract matters. This position will report to our Associate General Counsel and is open to attorneys with 4+ years of relevant experience.

What you will do:

  • Review, draft, analyze, advise on, and negotiate a high volume of B2B sales contracts for Awardco’s cloud-based (SaaS) web platform, including master subscription/service agreements (MSAs), SaaS agreements, service level agreements (SLAs), statements of work (SOWs), order forms, in-bound vendor contracts, requests-for-proposal (RFPs), and any other ancillary commercial contracts
  • Partner with Sales, InfoSec, and Finance teams to drive deal closure while maintaining appropriate risk management and compliance standards
  • Serve as strategic advisor to sales team, providing creative solutions for contract negotiations and joining customer calls to resolve complex legal issues
  • Develop and maintain contract templates, fallback provisions, and streamlined approval processes for customer, partner, and vendor contracts
  • Monitor and advise on emerging legal trends in B2B SaaS, data privacy, and AI regulations across relevant jurisdictions
  • Design and deliver internal training to internal stake-holders on contract processes and risk management

What you will bring:

  • J.D. from ABA-accredited law school and active bar license in good standing
  • 4+ years of dedicated experience in technology transactions, with emphasis on B2B SaaS agreements, either at a reputable law firm or in-house
  • Deep expertise in negotiating key technology contract provisions, including Limitations of Liability, Indemnification, IP Rights, and Data Security 
  • Excellent contract drafting, analytical, and critical thinking skills, with a keen understanding of key commercial contract provisions including Limitations of Liability, Indemnification, Representations & Warranties, Intellectual Property Rights, and Data Security
  • Proven ability to navigate complex negotiations with Fortune 500 enterprises while maintaining business momentum to meet tight deadlines
  • Demonstrated ability to explain complex legal issues in a clear and concise manner and provide succinct, practical, and results-oriented legal advice
  • Extremely well-organized and detail-oriented with the proven ability to adapt, prioritize, plan, and successfully manage a high volume of deals with changing or competing priorities. Independent and proactive style of working combined with a high level of self-motivation, confidence, and resourcefulness

Notes on preferred experience:

  • Well-organized, detailed-oriented, mature, poised, and comfortable with a high volume of contract negotiations, meeting internal stake-holder needs, and managing customer expectations
  • Calm under fire when working with sales reps in their fast-paced, quota-drive role with tight deadlines. Strong team player with a positive attitude
  • Candidates who lack deep expertise in data privacy laws and regulations, such as GDPR and CPRA, but have extremely strong experience with software licensing and/or SaaS subscriptions (preferably for B2B SaaS) are still encouraged to apply. The former is a plus. The latter is a must.
