As International Corporate Counsel, you will lead the corporate legal work associated with Justworks' global expansion and ongoing compliance with corporate obligations across our international subsidiaries. You will report to the Director, Corporate & Securities Counsel (based in New York) and work closely with other members of the legal team as well as finance, tax, operations, and expansion teams to support Justworks' international growth strategy.

Your Success Profile

What You Will Work On

  • Drive international subsidiary formation and licensing activities in new markets. 
  • Manage global subsidiary governance and legal entity management, ensuring compliance with all local corporate secretarial requirements.
  • Draft, review, and negotiate intercompany agreements to support tax-efficient transfer pricing strategies.
  • Lead internal entity restructuring initiatives to align with tax-efficient corporate structures.
  • Review and manage global office leases and related real estate matters.
  • Review global vendor agreements for the legal and finance teams (e.g., engagement letters). 
  • Prepare powers of attorney and other corporate authority documents to facilitate streamlined operations across jurisdictions.
  • Support corporate and equity-related aspects of internal global hiring.
  • Develop and implement innovative processes leveraging AI and technology to improve operational efficiency.
  • Oversee and manage relationships with local legal advisors, corporate secretarial vendors, and other key vendors.
  • Negotiate commercial contracts.
  • Coordinate with cross-functional teams and key stakeholders.
  • Support in other duties as needed based on department and/or organizational needs.

Qualifications

  • Minimum of 3 years of substantive cross-jurisdictional corporate legal experience, including global entity formation and governance
  • Qualified to practice in jurisdiction where located
  • Fluent in English, multilingual is a plus
  • Demonstrated ability to build and improve processes using technology and AI solutions
  • Excellent written and verbal communication skills
  • Demonstrated time management, organizational and analytical skills
  • Sound and practical judgment in managing risk
  • Collaborative team player with a positive attitude
  • Strong leadership skills with the ability to motivate and develop a team.
  • Occasional travel may be required

Actual compensation is based on multiple factors that are unique to each candidate, including and not limited to skill set, level of relevant experience, and specific work location.  Salary ranges for positions based in other locations may differ based on the cost of labor in that location.
