Legal Counsel Corporate Governance
We are seeking a skilled and motivated Legal Counsel to join the Corporate Governance team in Amsterdam. This team plays a crucial role in ensuring strong corporate governance and compliance with relevant legal requirements. As part of a lean and committed team, you will report to the Company Secretary and work closely with senior leadership, including the Management Board, the Supervisory Board, and the Global Leadership Team.
What you will do
- Corporate Governance and Legal Advisory: Advise on corporate law and governance matters, providing strategic and legal guidance to ensure compliance with applicable laws, regulations and internal policies.
- Board and Committee Support: Prepare, organize and attend Board, Committee and General Shareholder meetings. You will take minutes, track action items, and follow up with internal stakeholders to ensure timely completion and documentation.
- Corporate Resolutions and Documentation: Draft and review resolutions, meeting minutes and materials, and other corporate documents, ensuring they meet legal and governance standards.
- Corporate Housekeeping: Serve as the main point of contact for global corporate housekeeping matters, ensuring proper governance and legal compliance across the organization.
- Annual Report Contributions: Support the drafting and preparation of the corporate governance sections of Adyen’s Annual Report, ensuring alignment with regulations such as the Dutch Corporate Governance Code and the Corporate Sustainability Reporting Directive.
- Governance Framework and Regulatory Compliance: Maintain a strong governance framework that integrates regulatory obligations, e.g. those related to insider trading, and corporate governance best practices.
- Strategic Projects: Drive strategic governance projects, tracking progress and ensuring alignment with business objectives.
- Process Optimization: Identify areas for operational improvements to increase speed and efficiency across governance processes.
- Adaptability: The ability to seamlessly transition between longer-term project planning and tactical execution is essential in this fast-paced, dynamic role.
What you need to succeed
- Experience: You bring at least 5 years of relevant legal experience from a law firm or the legal department of a financial institution or corporation. Experience as a corporate governance counsel or (deputy) company secretary is a plus.
- Education: You hold a Dutch law degree, with experience in corporate law.
- Expertise: You have proven experience in drafting, reviewing, and managing corporate legal documents with precision. You are familiar with corporate housekeeping and governance frameworks, particularly the Dutch Corporate Governance Code, the Financial Supervision Act and the EU Market Abuse Regulation.
- Integrity and Discretion: You maintain a high level of integrity, discretion, and professionalism, even in fast-paced or challenging environments.
- Proactive: You are organized, meticulous, and proactive. You are hands-on, take full ownership and accountability for your work and are determined to achieve high-quality results.
- Independent and Decisive: You can make decisions quickly and work autonomously, while maintaining excellent and independent judgement.
- Collaborative: You are a strong team player who builds effective relationships across all levels of the organization, including with senior leadership, as well as outside the organization.
- Languages: You are fluent in both English and Dutch, with excellent written and verbal communication skills.
